1 Acceptance of Terms

By accessing or using the website Youistic.store, engaging with Youistic Studio for web development, mobile app engineering, WhatsApp CRM integrations, or digital growth campaigns, you agree to be bound by these Terms and Conditions. If you do not agree to all terms, you may not access our services.

2 Services & Deliverables

Youistic Studio offers custom digital engineering, SaaS development, WhatsApp Cloud API integrations, custom CRM automation pipelines, and performance digital marketing.

• Project scope, milestones, and deliverables are specified in individually executed proposals or Statement of Work (SOW) documents.
• Any modifications to initial requirements after project kickoff will be subject to a formal Change Request and revised pricing/timeline estimates.

3 Payment Terms & Invoicing

Clients agree to adhere to the payment schedule agreed upon in their custom proposal:

• An initial deposit (typically 30% - 50%) is required prior to project commencement.
• Milestone payments are due upon completion of designated project phases.
• All invoices must be settled within 7 days of issuance. Delayed payments may result in temporary suspension of active development or API pipelines.
• All fees are non-refundable once work on the specified milestone has commenced.

4 Intellectual Property Rights

Upon full payment of all contractual fees, Youistic Studio transfers full ownership of custom code, custom designs, and assets created specifically for the client.

Youistic Studio retains ownership of pre-existing core libraries, reusable framework boilerplates, internal workflow scripts, and proprietary automation architecture integrated into the project.

5 WhatsApp API & Third-Party Integrations

Our CRM and webhook services rely on Meta WhatsApp Business API and third-party cloud service providers (e.g., Supabase, Neon, Vercel, Meta API).

• Clients are responsible for maintaining compliance with Meta WhatsApp Commerce Policies.
• Youistic Studio is not liable for service interruptions caused by Meta API policy changes, third-party downtime, or account suspensions resulting from client messaging activities.

6 Limitation of Liability

In no event shall Youistic Studio, its founders, employees, or partners be liable for any indirect, incidental, special, or consequential damages (including loss of profits, data, or business interruption) arising out of or related to the use or inability to use our services.

7 Governing Law & Jurisdiction

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Jodhpur, Rajasthan, India.
